1. Agreement to Terms

These Terms & Conditions ("Terms") govern any project, service, or engagement between Elystran ("we", "us", "Elystran") and the client ("you") who commissions design, development, marketing, video/photo editing, or brand identity work from us. By confirming a project -- via a signed proposal, written agreement, deposit payment, or verbal confirmation followed by work commencing -- you accept these Terms in full.

2. Scope of Work

Every project begins with a defined scope, agreed in writing (email, proposal, or contract) before work starts. The scope covers deliverables, timeline, and price. Work outside the agreed scope -- additional pages, extra revision rounds beyond what's included, new deliverables -- is treated as a change request and quoted separately before we proceed.

3. Project Timeline

Estimated timelines are provided at the start of each project. Timelines depend on you providing requested materials (content, brand assets, feedback, approvals) promptly -- delays on your end will shift the delivery date accordingly. We will communicate any timeline changes as soon as we're aware of them.

4. Revisions

Each project includes a set number of revision rounds, agreed at the proposal stage. Revision requests must be consolidated and submitted in writing. Requests that fall outside the original scope, or additional rounds beyond what's included, are billed separately at our standard rate.

5. Client Responsibilities

You're responsible for providing accurate project information, timely feedback, and any content, assets, or access (logins, hosting, domain, brand files) needed to complete the work. You confirm that any material you provide to us (text, images, footage, logos) is either owned by you or properly licensed for our use, and you agree to indemnify Elystran against any claim arising from content you supplied.

6. Intellectual Property

Ownership of final deliverables (designs, code, edited video/photo files) transfers to you upon full and final payment. Until final payment is received, all work remains the intellectual property of Elystran. We reserve the right to display completed work in our portfolio, case studies, and marketing materials unless you request confidentiality in writing before project start.

Any third-party assets used in your project (stock photography, fonts, plugins, licensed tools) remain subject to their original license terms, which pass through to you where transferable.

7. Payment

Payment terms, deposit requirements, and accepted methods are set out in our Refund Policy and Payment Options pages, which form part of these Terms.

8. Confidentiality

We treat any non-public information you share with us -- business plans, unreleased branding, financial details -- as confidential, and will not disclose it to third parties without your consent, except as required by law.

9. Limitation of Liability

Elystran's total liability for any claim arising from a project is limited to the amount paid for that specific project. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption, arising from our work or any delay in delivery.

10. Cancellation & Termination

Either party may cancel a project in writing. Cancellation terms -- what's refundable and what isn't -- are set out in our Refund Policy. If you cancel after work has begun, you remain responsible for payment covering work completed up to the cancellation date.

11. Changes to These Terms

We may update these Terms from time to time to reflect how we operate. The "Last updated" date at the top of this page will always reflect the latest version. Continuing to work with us after a change means you accept the updated Terms.
